Notable deals: Corporate carve-outs and complex transactions
In 2025, Volaris Group continued to demonstrate our proficiency with complex deal structures and corporate divestitures, including corporate carve-outs.
Examples of corporate carve-outs from 2025 include:
- Britehouse Automotive, acquired by Volaris Group in March 2025, is a developer of innovative automotive software platforms. Before being sold to Volaris Group, Britehouse was a subsidiary of Dimension Data, which had been acquired by a Japanese telecom provider, Nippon Telegraph & Telephone Corporation (“NTT”), in 2010. The decision to sell Britehouse Automotive was part of a broader strategy to divest from non-core businesses. Read the press release.
- Quantum Inventions, acquired by Volaris Group’s Omegro division in August 2025, is a leading provider of transportation and mobility intelligence solutions. Quantum Inventions was acquired from Continental’s group sector Automotive. Read the press release.
- ClarityRFID, acquired by Volaris Group’s Omegro division in September 2025, is a provider of comprehensive, item-level RFID inventory solutions and services to the retail sector. Before the sale, the business had been owned by SML Group since 2013. Selling ClarityRFID allowed SML Group to move to the next phase of its growth strategy and focus on its core growth areas, including labels, digital triggers like RFID, and data-driven solutions for supply chain transparency and efficiency. Read the press release.
- The UK arm of Fintilect, acquired by Volaris Group in October 2025, is a provider of front-end digital banking platforms. Fintilect is a brand formed in 2024 after the merger of three established financial technology companies (ieDigital, ABAKA, and Connect FSS). The US arm of Fintilect remains under the ownership of the private office Parabellum Investments. Read the press release.
- HeartCore Inc., acquired by Volaris Group in October 2025, is a provider of content management software solutions to enterprise clients in Japan. It was a software subsidiary of HeartCore Enterprises, an IPO consulting services company based in Tokyo that was listed as a public company on the Nasdaq. Selling its software business assets allowed HeartCore Enterprises to concentrate on its robust IPO consulting business and transition from a software and consulting business model to a financial consulting firm.
Examples of complex transactions completed in 2025 included:
- Trakm8, acquired by Volaris Group’s Omegro and Brillan UK divisions in October 2025, is a provider of technology solutions for fleet management, insurance telematics, optimization, and vehicle camera systems. Before the sale, Trakm8 was a public company listed on the AIM market of the London Stock Exchange. Moving the company to private ownership under Volaris, Omegro, and Brillan will provide Trakm8 with strategic and operational flexibility to drive growth and innovation by leveraging expertise and resources under new ownership. Read the press release.
- Alpine Testing Solutions, acquired by Volaris Group in September 2025, is a leader in psychometric consulting and test security services for credentialing and licensure programs. Before the sale, Alpine was a 100% employee‑owned company. Unlike a typical founder‑led sale, Alpine’s employee stock ownership plan (ESOP) introduced a third decision‑maker: an independent trustee representing employee‑shareholders. The transaction required navigating Employee Retirement Income Security Act (ERISA) considerations, three legal teams, and rigorous diligence. Read the press release and case study.

The path ahead in 2026
Volaris Group marked 30 years of acquiring vertical market software companies in 2025. At the end of the year, we refocused our portfolios around core vertical markets, building on the success we’ve had incubating brands like Lumine, Modaxo, Omegro, Vencora, and Cultura. In 2026, we are placing a renewed focus on acquiring businesses serving several vertical markets, including Agriculture, Automotive, Enterprise Asset Management, Education, Financial Services, Healthcare, MarTech, Justice, Security, and Software Development.
As we continue to deliver on our strong track record of M&A, we commit to being forever invested in the businesses entrusted to us by those who sell. AI will continue to be an organizational focus as we increase AI adoption across the organization and upskill employees in ways that can benefit our companies.
We look forward to welcoming more businesses to Volaris in 2026 and giving them the support they need to be market leaders.
